Terms of Service

Please read these Terms of Service ("Terms") carefully before using the Zolvd platform ("the Service") operated by Zolvd ("we", "us", "our"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. The Service

Zolvd is a web-based project management platform for service businesses. It provides tools for managing client projects, generating quotes, tracking deliverables, coordinating payments, and invoicing — from first contact to final invoice.

The Service is provided via workspace.zolvd.app. The marketing website at zolvd.app is separate and informational only.

2. User types

The Service has two distinct user types:

  • Service Providers — individuals or small businesses who create an account, subscribe to a paid plan, and use Zolvd to manage their client projects. Service Providers are subject to these Terms in full.
  • Project Clients — the end customers of Service Providers who access a project portal via magic link. Project Clients do not have a subscription with Zolvd and are subject to these Terms only in relation to their use of the client portal.

3. Accounts and eligibility

To use the Service as a Service Provider, you must be at least 18 years old and capable of entering into a legally binding agreement. By registering, you represent that you meet these requirements.

You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. Notify us immediately at [email protected] if you suspect any unauthorised use.

4. Free trial

New Service Provider accounts receive a 14-day free trial with full Pro features. A valid payment method is required to start the trial via our billing provider, Paddle. You will not be charged during the trial period.

At the end of the trial, your account will be charged according to the plan you selected. If no plan is selected, your account will automatically downgrade to the Starter plan (up to 3 active projects). You will not lose any existing data on downgrade.

5. Subscription plans and billing

Zolvd offers three subscription plans — Starter, Growth, and Pro — billed monthly or annually. Current pricing is listed at zolvd.app/pricing. We reserve the right to change pricing with 30 days' notice to existing subscribers.

Subscriptions are managed and billed by Paddle, who acts as Merchant of Record. This means Paddle is the legal seller of record for your Zolvd subscription. Paddle handles all payment processing, VAT calculation, currency conversion, and billing receipts on our behalf. By subscribing, you also agree to Paddle's terms of service.

Subscriptions renew automatically at the end of each billing period unless cancelled before the renewal date. We do not issue refunds for unused portions of a billing period, except where required by Paddle's buyer protection policy or applicable law. Paddle offers buyer protection on initial purchases — where Paddle's policy provides a remedy, it takes precedence over our no-refund clause.

6. Plan limits

Each plan includes a limit on the number of simultaneously active projects (defined as any project not in "closed" or "archived" status):

  • Starter: Up to 3 active projects
  • Growth: Up to 10 active projects
  • Pro: Unlimited active projects

If you reach your plan limit, you will be prompted to upgrade before creating additional projects. All plans include unlimited clients, reports, and library items.

7. Cancellation

You may cancel your subscription at any time through the Paddle billing portal (linked in your subscription receipt) or from Settings → Subscription within the app. Cancellation takes effect at the end of your current billing period, after which your account will downgrade to the Starter plan.

We may suspend or terminate your account if you violate these Terms, fail to pay subscription fees, or engage in conduct that harms other users or the platform. We will provide reasonable notice before termination where possible.

8. Zolvd as a facilitator — not a party to SP-client agreements

Zolvd provides tools that help Service Providers manage their relationships with their own clients. Zolvd is a platform facilitator only. We are not a party to, and accept no responsibility or liability in connection with, any service agreement, contract, engagement, or business relationship between a Service Provider and their Project Client.

When a Project Client accepts a quote or agrees to a scope through the Zolvd client portal, that agreement is formed solely between the Service Provider and their Project Client. Zolvd's recording of that acceptance is provided as a convenience and audit reference — it does not make Zolvd a party to the agreement, and does not constitute legal advice or a guarantee of enforceability.

Service Providers are solely responsible for ensuring that any agreements, quotes, or contracts formed through the use of Zolvd are valid, enforceable, and compliant with the laws applicable in their jurisdiction and the jurisdiction of their clients. Zolvd makes no representation that the use of the platform satisfies any specific legal, regulatory, or contractual requirement.

9. Payments between Service Providers and their clients

Zolvd does not process, hold, or facilitate payments between Service Providers and their Project Clients. The platform generates payment instructions — including a unique order reference and the Service Provider's banking details — which the Project Client uses to make a direct bank transfer to the Service Provider.

Zolvd is not a party to any financial transaction between a Service Provider and their Project Client. We accept no liability for payment disputes, failed payments, fraud, chargebacks, or any financial loss arising from transactions between Service Providers and their clients.

10. Disputes between Service Providers and their clients

Any dispute, disagreement, or claim arising between a Service Provider and their Project Client — including but not limited to disputes over scope, delivery, quality, payment, or liability — is entirely between those parties. Zolvd has no obligation to and will not mediate, arbitrate, or intervene in any such dispute.

Service Providers agree to indemnify and hold Zolvd harmless from any claims, damages, costs, or liabilities arising from disputes between themselves and their Project Clients, or from the Service Provider's failure to fulfil their obligations to their clients.

11. No legal, tax, or professional advice

Nothing in the Zolvd platform constitutes legal, financial, tax, accounting, or professional advice of any kind. The quotes, invoices, payment instructions, and document outputs generated by the platform are tools for your business operations — they are not legal documents prepared by or reviewed by a qualified professional.

It is your responsibility to ensure that the content you create within Zolvd — including quote terms, payment conditions, and scope descriptions — complies with applicable laws, industry regulations, and professional standards in your jurisdiction. We strongly recommend seeking independent legal or professional advice where required.

The activity log and audit trail within Zolvd is provided as an operational record for your convenience. Zolvd makes no representation regarding the admissibility, completeness, or legal weight of this record in any legal or regulatory proceeding.

12. Data responsibility — Service Providers as responsible party

When a Service Provider stores personal information about their Project Clients within Zolvd (including names, email addresses, phone numbers, and company details), the Service Provider is the responsible party for that data under the Protection of Personal Information Act (POPIA), and the data controller under the General Data Protection Regulation (GDPR) where applicable.

Zolvd acts as the operator (POPIA) and data processor(GDPR) for Project Client data — processing it solely on the Service Provider's behalf and only to the extent necessary to provide the Service.

Service Providers are responsible for:

  • Having a lawful basis for collecting and storing their clients' personal information
  • Notifying their clients that their information is stored and processed via Zolvd
  • Responding to any access, correction, or deletion requests from their clients
  • Complying with all applicable privacy laws in their jurisdiction and their clients' jurisdictions

Zolvd's own handling of this data is governed by our Privacy Policy.

13. Service Provider responsibilities

In addition to the above, as a Service Provider you are responsible for:

  • The accuracy of all project, client, quote, and invoice information you enter
  • Ensuring the security of your account credentials
  • Using the Service only for lawful business purposes
  • Holding any licences, registrations, or professional qualifications required to operate your business in your jurisdiction

14. Acceptable use

You agree not to use the Service to:

  • Violate any applicable law or regulation
  • Transmit spam, unsolicited messages, or malicious content
  • Attempt to gain unauthorised access to the platform or another user's data
  • Reverse engineer, decompile, or copy any part of the Service
  • Use the Service in a way that interferes with or disrupts its operation

15. Intellectual property

The Zolvd platform, including its design, code, and content, is our intellectual property. Nothing in these Terms grants you ownership of any part of the Service.

You retain full ownership of the data you create within the platform — your projects, clients, quotes, deliverables, and invoices. By using the Service, you grant us a limited licence to store and process this data solely to provide the Service to you.

16. Availability and changes

We aim to provide a reliable service but do not guarantee uninterrupted availability. We may perform maintenance, updates, or changes to the Service from time to time, with or without prior notice.

We reserve the right to modify or discontinue features of the Service at any time. Where changes materially affect your subscription, we will provide reasonable notice.

17. Limitation of liability

To the maximum extent permitted by law, Zolvd shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, goodwill, or business opportunity, arising from your use of or inability to use the Service, or from any agreement or dispute between you and your clients.

Our total liability to you for any claim arising from these Terms or your use of the Service shall not exceed the amount you paid us in the 12 months preceding the claim.

18. Governing law

These Terms are governed by the laws of the Republic of South Africa. Any disputes arising from these Terms or your use of the Service shall be subject to the exclusive jurisdiction of the South African courts.

19. Changes to these Terms

We may update these Terms from time to time. When we do, we will update the "Last updated" date and notify you via email or in-app notice where the changes are material. Continued use of the Service after such notice constitutes your acceptance of the revised Terms.
